Terms of Service

1. Acceptance of Terms

By purchasing, downloading, accessing, or using Codapult (the “Product”), you (“Licensee”) agree to be bound by these Terms of Service (“Agreement”). If you do not agree, do not purchase or use the Product.

2. Definitions

  • “Product” means the Codapult source code, documentation, assets, configuration files, and any other materials provided as part of the licensed package.
  • “Derivative” means any work based upon, derived from, or incorporating any portion of the Product, regardless of the extent of modification, refactoring, renaming, or restructuring applied. A work does not cease to be a Derivative merely because it has been substantially modified.
  • “End Product” means any application, website, or service produced by the Licensee that incorporates the Product or Derivatives of the Product.
  • “End User” means a user of an End Product. End Users of a SaaS product hosted and operated by the Licensee do not receive the Product and do not need their own Codapult license.

3. Account

You are responsible for maintaining the security of your account and password. You must notify us immediately of any unauthorized use. You are liable for all activity that occurs under your account.

4. License

Upon successful payment you are granted a non-exclusive, non-transferable, and non-sublicensable license to use the Product in accordance with your purchased tier (Starter, Pro, or Enterprise). The license limits the number of projects and the duration of updates as described on the pricing page at the time of purchase.

You may modify the Product to create End Products for your own use or commercial deployment. You may sell End Products provided they do not expose or distribute the Product, Derivatives, or source code to the buyer. You may not redistribute, resell, sublicense, or share the Product or Derivatives (modified or unmodified) with third parties outside your licensed projects.

5. Intellectual Property

Codapult retains all right, title, and interest in and to the Product, including all intellectual property rights therein. Nothing in this Agreement transfers ownership of the Product or any intellectual property rights to the Licensee. You acquire only the limited usage rights expressly granted in Section 4. Any Derivatives you create remain subject to this Agreement and do not transfer any intellectual property in the underlying Product to you.

6. Prohibited Actions

In addition to the restrictions stated in Section 4, you shall not:

  • Competing products. Use the Product or Derivatives to create, sell, or distribute any product that competes with Codapult, including but not limited to SaaS boilerplates, starter kits, templates, or code generators — regardless of how extensively the Product has been modified, refactored, or restructured.
  • AI / ML training. Use the Product, in whole or in part, as training data for any machine learning model, artificial intelligence system, or code generation tool — whether for commercial or non-commercial purposes. This includes but is not limited to fine-tuning language models, training code-completion tools, or feeding the Product into any automated code generation pipeline. For the avoidance of doubt, using AI coding assistants (e.g. GitHub Copilot, Cursor) for development tasks such as prompting, code completion, and refactoring while working on your licensed projects is permitted, provided you do not use the Product to train, fine-tune, or create datasets for such tools.
  • Open-sourcing. Publish, release, or distribute the Product or Derivatives under any open-source license, or make the source code publicly available in any form (including public repositories or freely downloadable packages).
  • Unauthorized distribution. Transfer, share, lease, rent, or otherwise make the Product or Derivatives available to any individual or entity not covered by your license.
  • Redistribution. Redistribute the Product or Derivatives separately from an End Product, whether in source code or compiled form, whether for free or for a fee.
  • Removal of notices. Remove, alter, or obscure any copyright, trademark, or other proprietary notices from the Product.

7. License Revocation & Termination

Your license is immediately and automatically revoked if any of the following occurs:

  • Refund.A refund is issued for your purchase at Codapult's discretion (see Section 10).
  • Chargeback or payment dispute. You initiate a chargeback or payment dispute with your bank or payment provider.
  • Breach of terms. You violate this Agreement, including but not limited to the Prohibited Actions listed in Section 6, redistributing the Product, or exceeding the licensed project count.
  • Termination by Codapult. Codapult reserves the right to terminate this license at its sole discretion, at any time, without conditions or prerequisites.

Upon revocation you must:

  • Immediately cease all use of the Product and all Derivatives.
  • Permanently delete all copies of the Product and Derivatives (including local repositories, backups, and deployed instances). Copies residing in immutable or automated backup systems that cannot be selectively purged shall expire in accordance with your standard retention policies, and you shall not restore or use such copies for any purpose after revocation.
  • Remove any End Products built on the Product from production.
  • Confirm deletion in writing to [email protected] upon request.

Access to updates, support channels (Discord, GitHub), and any other resources included with the license is terminated at the moment of revocation. Revocation does not relieve you of any obligations or liabilities incurred prior to revocation. Sections 2, 5, 6, 13, 14, 15, and 16 survive termination of this Agreement.

8. License Expiration

Each license tier includes a defined update period (e.g. 6 months, 12 months, or lifetime). When the update period expires:

  • You retain the right to use the version of the source code you received during the update period, including all updates released before expiration.
  • You may continue to build, deploy, and maintain projects using that code.
  • You will no longer receive new updates, bug fixes, or new features released after the expiration date.
  • Priority support (if included in your tier) ends at the same time as the update period.

You may purchase a new license or renewal to regain access to the latest updates and support.

9. Subscriptions & Payments

Paid plans are billed in advance on a monthly or yearly basis. Cancellations take effect at the end of the current billing period. As we continue to improve Codapult and expand our offerings, pricing may change. Existing license holders are not affected by price increases for their current tier.

10. Refunds

Due to the nature of digital products with immediate access to source code, all purchases are final and non-refundable. By completing your purchase, you acknowledge that you receive immediate access to the Product and waive any right of withdrawal.

If a refund is issued at Codapult's sole discretion, it will be for the amount paid less any non-recoverable fees charged by the payment processor. Upon refund, your license is immediately revoked (see Section 7) and you must delete all copies of the Product and Derivatives.

For subscriptions, you may cancel at any time; the cancellation takes effect at the end of the current billing period and no partial refund is issued for the remaining days.

11. Acceptable Use

You must not use the Product for any unlawful purpose, or in a way that could damage or impair the service for other users, or in violation of any applicable laws, regulations, or third-party rights.

12. Disclaimer of Warranties

THE PRODUCT IS PROVIDED “AS IS” AND “AS AVAILABLE”, WITHOUT WARRANTY OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO THE WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. CODAPULT MAKES NO WARRANTIES OR REPRESENTATIONS REGARDING THE ACCURACY, RELIABILITY, COMPLETENESS, OR TIMELINESS OF THE PRODUCT OR THE RESULTS OBTAINED FROM ITS USE. YOU ASSUME ALL RESPONSIBILITY AND RISK FOR THE USE OF THE PRODUCT.

13. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, CODAPULT SHALL NOT BE LIABLE FOR ANY DIRECT, INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES — INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, BUSINESS OPPORTUNITIES, OR GOODWILL — ARISING OUT OF OR IN CONNECTION WITH THE USE OF, INABILITY TO USE, OR RELIANCE ON THE PRODUCT, REGARDLESS OF THE CAUSE OF ACTION OR THE THEORY OF LIABILITY, EVEN IF CODAPULT HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

CODAPULT'S TOTAL CUMULATIVE LIABILITY UNDER THIS AGREEMENT SHALL NOT EXCEED THE AMOUNT ACTUALLY PAID BY YOU FOR THE LICENSE.

14. Indemnification

You agree to indemnify, defend, and hold harmless Codapult, its owners, employees, and agents from and against any and all claims, damages, losses, liabilities, costs, and expenses (including reasonable legal fees) arising out of or related to: (a) your use of the Product; (b) any breach of this Agreement; (c) your violation of any applicable law or third-party right; or (d) any unauthorized distribution of the Product by you or any party who obtained access through you.

15. Audit Rights

Codapult reserves the right to audit the Licensee's use of the Product to verify compliance with this Agreement. Audits shall be conducted no more than once per twelve-month period with at least thirty (30) days' written notice. Audits shall be limited in scope to evidence of license compliance (e.g. number of projects, deployments, access logs) and shall not require access to the Licensee's proprietary business systems or unrelated data. You agree to cooperate with any such audit and provide the requested compliance records within a reasonable timeframe. If an audit reveals a material breach, you shall bear the reasonable costs of the audit in addition to any other remedies available to Codapult.

16. Governing Law & Jurisdiction

This Agreement shall be governed by and construed in accordance with the laws of the Republic of Singapore, without regard to its conflict of law provisions. Any disputes arising out of or in connection with this Agreement shall be subject to the exclusive jurisdiction of the courts of Singapore.

17. Amendments

Codapult reserves the right to modify this Agreement at any time. Updated terms will be posted at this URL with a revised “Last updated” date. Continued use of the Product after publication of changes constitutes acceptance of the updated terms. For material changes that substantially restrict your rights, we will make reasonable efforts to notify you via email.

18. Severability

If any provision of this Agreement is held to be invalid, illegal, or unenforceable by a court of competent jurisdiction, the remaining provisions shall continue in full force and effect. The invalid provision shall be modified to the minimum extent necessary to make it valid and enforceable while preserving its original intent.

19. No Waiver

The failure of Codapult to enforce any provision of this Agreement at any time does not constitute a waiver of that provision or the right to enforce it at a later date. No waiver shall be effective unless made in writing.

20. Entire Agreement

This Agreement constitutes the entire agreement between you and Codapult with respect to the subject matter hereof and supersedes all prior or contemporaneous agreements, representations, warranties, and understandings, whether written or oral.
